OK, this isn't as big as it seems. Be calm and relaxed. I realise at 13 it seems like a major thing, but honestly the slightest thing could get in the way, she's probably very nervous too because without meaning to sound patronising you're both still kids.
My advice is simply this. Be confident and compassionate. Tell her that you like her and would like to spend some time with her, just the two of you. See if she'd like to make a regular day where you can see eachother, maybe you could rent a DVD (or video game if she's a gamer) and make it clear that you're interested in more than just being friends but you're happy to wait until you're both sure and ready you want something more.
It may not be perfect but this is what I'd say. First I'd take her somewhere private, and do this somewhere she doesn't HAVE to be near you afterwards, in case she feels pressured and wants to leave you don't want to spoil a day out and it'll make her feel less pressured. I'd say this.
"I know this is a big step but I wanted to tell you that I like you a lot. I think you're really beautiful and you're a fun person to be around, and I'd really like to spend more time with you. I don't want to pressure you at all, it's just that I like being around you and I'd like us to be closer. Would you like to go out? Maybe we could rent a movie this weekend, just the two of us and see if we like being together."
I can't guarentee this will work, but it's worth a shot. It shows you're considerate, confident and makes your intentions known. Honestly though don't get hung up on it. Being boyfriend and girlfriend at 13 is little more than glorified friendship, it'll be a few years until she'll be interested in anything physical and I'd hope that's true for you as well. Most girls at 13 are nevous about kissing for f*ck sake.
The best piece of advice I can give is to remember to be the following three things. Confident, Respectful and Yourself. So long as you remember to be confident (no woman likes a stuttering weed staring at the ground when he's asking her out), respectful (if you're constantly trying to get into her knickers rather than becoming genuinely close you'll only get frustrated and end up hurting her), and yourself (it's pointless trying to make someone like you, if they do and it's all an act on your part. it'll feel hollow and empty), you'll do just fine. Oh and remember, the worst that can happen is she doesn't want to go out with you, but if you never ask, she'll never go out with you anyway... so you have nothing to lose.

That night, still feeling a bit crazy and having confidence (Im not a very confident person), I was texting her.
She's been asking me who I fancy for a while (and I know that means she's interested), and I always said Ill tell you later. As I still wasnt sure wether I should tell her or not, and if I was I should do it Face to Face.
Anyway, last night she said I fancied one of my girl-friends. I said I didnt, and she kept saying I did, and then I said its you that I fancy.
Anyway, we talked about it for a bit. She said I cant be very serious because I done it over text. I said I was close to doing it Face to Face a few times when we were alone, but bottled it, and told her I did because of some of my friends(Also Because Im not very confident, I didnt tell her this though).
Anyway, I still dont know what her answer was, it wasnt yes, but I'm not sure if it was a no.
Problem is, I dont feel as confident now im back to normal, and when I asked her last night, I said what I wanted to say Face to Face. It was "Look Lucy, I really like you and wondered if you wanted to go out with me?"
Anyway, this afternoon after I woke up (around 1, I was tired) I checked my phone and she text me saying did I want to go and watch a film with her and her mate. I text back saying what time and can I bring my friend (Who's birthday it was)?
She hasnt replied yet, but im crapping myself now, where as last night I was cool as ****.
Anyway, If I do end up going with her, I want to know what to say to her, as I want to ask her out face to face.

By the sounds of things, she wants you to ask her face to face and it will most likely be a yes. What could go wrong really? She knows you like her already
