Sony won the auction to use Spiderman, produce movies based on the character. Marvel allowed Sony full creative freedom to do whatever they wanted with the character. Sony picked up dozen or so scripts from MGM back in 1999 project was on the cards for 25 years stuck in development hell. First movie under Sony's direction was released in 2002 movie was a critical success along with financial success. Company went on to make 2 more movies before rebooting spiderman under the name The Amazing Spiderman.
The reboot was meet with limited success, with the company looking likely to reduce the number of total movies made from 3 to 2.

Marvel in recent years has been making financial success after financial success.
Rebooting a range of characters with successful movies, characters jumping into each others world.
Marvel new story arc civil war has one character in the comic books who plays a key role which just so happens to be spiderman. Marvel offered Sony billions to buy back the character years ago, Sony declined this offer. Two companies have come to a agreement which suits both sides Marvel gets to use spiderman and Sony gets to carry on using spiderman. Marvel input may mean that spiderman becomes a success at the box office once more with spiderman set to camo or even have a full part in Captain America Civil War with a reboot coming from Sony with some Marvel input.

X Men almost went back to Marvel but the shock success of first class means Fox can keep X Men for a couple more years. In the comic books X Men do cross over alot.
Who knows maybe Marvel can get everybody back into the fold with 20th Century fox making a deal like Sony has done.

Great about this deal we may see a new side to spiderman and get a good movie which we not had in over 10 years

Stan Lee does camos in almost every Marvel movie due to helping create most of the Marvel library. He worked as an author/editor and think he had a seat on the board. Don't believe he owns the company but may have shares in the company. Disney owns Marvel at the moment.
