Who the hell told you that...

You can overclock any CPU. I wouldn't recommend overclocking your laptops processor, it will work harder, and it will generate heat, overclocking should only really be done in Desktop systems with the appropriate cooling featured with the processor.

What kind of desktop is it? Post a picture or something so I know. If it has a stock fan, like an Intel fan, I would stay away from overclocking.

With GTA IV, you need at least the following spec to be able to run it smoothly:
OS: Windows Vista Service Pack 1 / Windows XP Service Pack 3
CPU: Intel Core 2 Duo 1.8 GHz, AMD Athlon X2 64 2.4 GHz
Memory: 1.0 GB (Windows XP) 1.5 GB (Windows Vista)
Hard Drive Space: 16 GB of free space
Graphics Hardware: 256 MB Nvidia 7900 / 256 MB ATI X1900

This setup however will inevitably give you problems and you will not be able to play with full graphics, i.e. there will be no shadows, no antialiasing, etc... and it will ruin your experience of the game

For full gaming experience, this is the minimum you will need:
OS: Windows Vista Service Pack 1 / Windows XP Service Pack 3
CPU: Intel Core 2 Quad 2.4 GHz, AMD Phenom X3 2.1 GHz
Memory: 2.0 GB (Windows XP) 2.5 GB (Windows Vista)
Hard Drive Space: 18 GB of free space
Graphics Hardware: 512 MB Nvidia 8600 / 512 MB ATI 3870

These were taken directly from the Rockstar website, and they are 100% genuine figures
If your PC doesn't meet the requirements of the stats below, then disable shading, shadows, antialiasing, and other stuff, and I'm sure it can run if you have the setup at the very top
